Terms of Service

The agreement for buying, downloading, and operating Coil. Plain-English, but it is the real thing.

1. Acceptance & who we are

These Terms of Service (the “Terms”) are a binding agreement between you (“you” or the “customer”) and the operator of Coil (“Coil,” “we,” “us,” or “our”), who publishes the website at coil.trade and distributes the Coil software. By purchasing, downloading, installing, or running Coil, or by using coil.trade, you confirm that you have read, understood, and agree to be bound by these Terms.

If you do not agree with any part of these Terms, do not purchase, download, or run the software. You must be of legal age to form a binding contract and to maintain a brokerage account in your jurisdiction in order to use Coil.

2. What Coil is

Coil is downloadable software: an agent-native, rules-based, self-tuning trading system — a scanner that scores names across the S&P 500, the Nasdaq-100 and a Macro book, a dashboard, and a long-only engine — which you buy, download, and run yourself on your own machine, inside your own AI agent, against your own brokerage account. Where it accelerates a leader it may use leveraged ETFs at reduced size; it does not sell short.

To be unambiguous about what Coil is not:

  • Coil is not investment advice and does not provide personalized recommendations to buy or sell any security.
  • Coil is not a managed account. We never take custody of, hold, or direct your funds.
  • The downloadable software is not a signal service, newsletter, or trade-alert subscription. (Coil Scanner, an optional hosted subscription, is a separate impersonal research publication — see section 2.1 — and is likewise not advice.)
  • Coil is not a broker, dealer, investment adviser, or fiduciary, and we are not acting in any such capacity toward you.

Coil is a tool. Every order it generates is executed by your own software, on your own machine, against your own brokerage account, under your own control and responsibility.

2.1 Coil Scanner — the hosted research publication

Coil Scanner is an optional, separately purchased subscription (billed through Gumroad as merchant of record) that provides access, at coil.trade/scanner, to a daily published board of scores and states produced by Coil's scanner. It is an impersonal research publication: every subscriber receives the identical board, prepared without regard to any subscriber's objectives, financial situation, or needs. It is not individualized investment advice, contains no buy/sell recommendations directed at you, and includes no stop or target prices. No adviser-client, broker-customer, or fiduciary relationship is created by subscribing.

  • Personal, non-transferable access. One subscription covers one person. Your license key is personal; sharing it, or providing access to others, is a breach of these Terms.
  • No redistribution. You may not republish, redistribute, scrape, archive for redistribution, or make available to any third party the board or any substantial portion of its data, whether free or paid, human- or machine-readable.
  • Cadence and availability. The board is published each U.S. market morning as an editorial cadence, not a service-level guarantee. Late or missed publishes are shown honestly with timestamps. We may modify, suspend, or discontinue the publication with reasonable notice; if we discontinue it, Gumroad subscriptions are cancelled so you are not billed further.
  • Access period. Access runs while your subscription is active and ends at the end of your paid period after cancellation or non-payment. Cancel anytime from your Gumroad library.
  • No performance claims. Scores describe historical and technical structure; they are not predictions and not promises. Sections 6-8 (risk, no warranty, limitation of liability) apply to Coil Scanner in full.

3. License grant

Subject to your compliance with these Terms and your payment of the applicable fee, we grant you a perpetual, personal, non-transferable, non-exclusive license to use the version of Coil you downloaded, for your own trading use. “Perpetual” means we will not revoke the license to that version for non-renewal, because there is nothing to renew; it does not entitle you to future versions, updates, or new releases. When we publish a new version, it is announced on coil.trade and installed manually at your option — there is no subscription and no automatic delivery.

4. Restrictions

The license above is limited. You may not, and may not permit any third party to:

  • redistribute, resell, sublicense, lease, lend, or otherwise make the software available to anyone else;
  • publish, post, or otherwise disclose the engine, its source code, or its internal logic, in whole or in part;
  • reverse-engineer, decompile, or disassemble the software except to the limited extent that applicable law expressly permits despite this restriction;
  • remove, alter, or obscure any copyright, trademark, license, or other proprietary notices contained in the software or its documentation; or
  • use the software to build or train a competing product or service.

5. Your responsibilities

Coil runs on your machine, with your accounts. You are responsible for how it is used and for everything that results.

  • You use your own brokerage account, your own capital, and your own credentials. Your broker and data-provider credentials stay on your machine and are never transmitted to us — we never see, store, or have access to them.
  • You are solely responsible for all trading decisions and outcomes, including every order placed, filled, or missed, and for any resulting profit or loss.
  • You are responsible for configuring, supervising, and operating the software, including any kill switches, position limits, or safeguards you choose to enable or disable.
  • You are responsible for complying with your brokerage's and your data provider's terms of service, with any market-data licensing requirements, and with all applicable laws, regulations, and tax obligations in your jurisdiction.
  • You confirm that automated or algorithmic trading is permitted on your account and that you have the necessary approvals and permissions to trade leveraged ETFs.

6. Risk acknowledgment

Trading carries high risk, and leveraged ETFs especially so. By using Coil you acknowledge and accept that risk in full.

You can lose money — including all of it. Where Coil accelerates a leader through a leveraged ETF, that fund is designed for short holding periods and can lose value rapidly, including the total loss of the amount committed to it. Coil's entry discipline, position limits, and risk controls are intended to reduce risk, but they cannot remove it and cannot guarantee against loss. All performance figures shown anywhere — on coil.trade, in the software, or in its documentation — are research backtests under modeled conditions, not a record of actual client or live returns, and past performance does not predict future results. You should never trade with money you cannot afford to lose.

7. No warranty

Coil is provided “AS IS” and “AS AVAILABLE,” without warranties of any kind. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty as to accuracy, reliability, availability, or profitability.

We do not warrant that the software will be uninterrupted, error-free, or free of defects; that it will connect to or function with any particular broker, data feed, or third-party service; that signals or orders will be timely or accurate; or that using it will be profitable or will avoid losses. You use the software at your own risk.

8. Limitation of liability

To the maximum extent permitted by applicable law:

  • we are not liable for any trading losses or for any lost profits, lost opportunities, or lost or corrupted data arising out of or related to your use of Coil;
  • we are not liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, even if we have been advised of the possibility of such damages; and
  • our total aggregate liability for any and all claims arising out of or related to Coil or these Terms is capped at the total amount you actually paid us for the software in the twelve (12) months preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above may not apply to you. In that case, our liability is limited to the smallest amount permitted by law.

9. Payments

Coil is sold as a single one-time purchase — $29 at launch (regular $49). There is no subscription, no recurring charge, and nothing to renew. All prices are in U.S. dollars unless stated otherwise.

Payment, taxes, invoicing, and chargebacks are handled by Gumroad as our merchant of record, which also handles checkout, receipts, and license keys. Your purchase is technically a transaction with Gumroad, and Gumroad's own terms of service and privacy policy also apply to that transaction in addition to these Terms. You can access your purchase at any time from your Gumroad Library at app.gumroad.com/library.

Coil is an instant digital product you download and keep, so all sales are final. The one thing we always correct is a genuine billing error — such as a duplicate charge — which is a billing correction rather than a change-of-mind refund. Billing corrections are processed by Gumroad and are governed by our Refund Policy.

10. Intellectual property

Coil, the Coil name and logo, the website, the software, its source code, models, documentation, and all related materials are owned by the operator of Coil or its licensors and are protected by copyright, trademark, and other intellectual-property laws. Your license grants you the right to use the software as described above; it does not transfer any ownership or grant any rights beyond those expressly stated. All rights not expressly granted are reserved. “Robinhood,” “Alpaca,” and “Gumroad,” along with any exchange, index, or fund names referenced, are the property of their respective owners, and Coil is not affiliated with, endorsed by, or sponsored by any of them.

11. Termination

You may stop using Coil at any time. We may suspend or terminate your license if you materially breach these Terms — for example, by redistributing or publishing the software, by violating the restrictions in Section 4, or by using Coil unlawfully. On termination for breach, the licenses granted to you end and you must stop using and delete the software. Sections that by their nature should survive termination — including risk acknowledgment, disclaimers, limitations of liability, intellectual property, and governing law — survive.

12. Changes to these Terms

We may update these Terms from time to time, for example to reflect changes to the software, our payment processor, or the law. When we do, we will revise the effective date at the top of this page. Material changes will be reflected here, and your continued purchase, download, or use of Coil after an update constitutes your acceptance of the revised Terms. If you do not agree to a change, stop using the software.

13. Governing law

These Terms are governed by the laws of the jurisdiction in which the operator of Coil is established, without regard to its conflict-of-laws rules, and any dispute relating to these Terms or to Coil will be subject to the courts of that jurisdiction, except where applicable mandatory law gives you the right to bring proceedings in your own place of residence. Nothing in these Terms limits any non-waivable statutory rights you may have as a consumer.

Coil is software you install and run yourself, with your own brokerage credentials and capital. It is long-only and not investment advice, not a managed account, and not a signal service. Leveraged ETFs, where the engine uses them, can lose value rapidly, including total loss. All performance figures are research backtests — point-in-time and survivorship-free, not live or client returns; past performance does not predict future results.
